These Terms of Service, also referred to as this Public Offer Agreement (“Terms”), govern access to and use of metricfixer.com and any related services provided through the website, customer ticket system, email communications, support workflows, and related service channels.

metricfixer.com is operated by Marketlab Analytics LLC, 16192 Coastal Highway, Lewes, Delaware 19958, United States of America, EIN 35-2815299.

In these Terms, “metricfixer,” “Marketlab,” “we,” “us,” or “our” means Marketlab Analytics LLC operating the metricfixer service. “Customer,” “you,” or “your” means any individual, company, organization, agency, or other entity that accesses the website, creates a ticket, requests services, communicates with us, or pays for services.

By accessing metricfixer.com, submitting a ticket, requesting a quote, making a payment, providing access to systems, continuing communication with us, or using any part of the Services, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Nature of These Terms

These Terms constitute a public offer by Marketlab Analytics LLC to provide paid online technical, analytics, tracking, advertising-technology, and related digital support services under the conditions described below.

A contract between you and Marketlab is formed when you take any action indicating acceptance, including but not limited to submitting a ticket, requesting an estimate, approving a proposed scope of work, making a payment, providing access to your systems, continuing communication regarding a support request, or using any result, recommendation, configuration, snippet, or deliverable provided by us.

Additional documents may apply, including our Privacy Policy, Data Processing Addendum, Cookie Policy, Payment and Refund Policy, or other service-specific terms. If there is a conflict between these Terms and a separate written agreement signed by Marketlab, the signed agreement will control for that specific engagement.

2. Service Description

metricfixer provides paid online support, diagnostics, configuration, implementation, consulting, troubleshooting, and optimization services related to web analytics, conversion tracking, advertising technology, ecommerce measurement, server-side tracking, marketing platforms, and related systems.

The Services may include, depending on the specific ticket or agreed scope:

  • diagnosis and correction of GA4 tracking problems;
  • setup and troubleshooting of Google Analytics 4 tracking;
  • setup of conversion tracking;
  • ecommerce tracking implementation and diagnostics;
  • setup and troubleshooting of Google Tag Manager;
  • setup and troubleshooting of server-side Google Tag Manager;
  • importing or returning conversions from CRM systems;
  • Meta Conversions API setup;
  • Meta Pixel setup and diagnostics;
  • TikTok Pixel setup and diagnostics;
  • LinkedIn Pixel setup and diagnostics;
  • call tracking and email tracking setup;
  • transmission of real conversions to GA4 from Amazon using Amazon Attribution;
  • design and implementation of custom tracking solutions;
  • advertising strategy development for Google Ads, Meta Ads, TikTok Ads, Microsoft Ads, and LinkedIn Ads;
  • Google Merchant Center setup;
  • audit and optimization of Google Ads, Meta Ads, TikTok Ads, Microsoft Ads, and LinkedIn Ads performance indicators;
  • subscription-based advertising management;
  • website modifications for analytics and SEO purposes;
  • other work requested by the Customer, if such work falls within the competence of metricfixer specialists and engineers.

The Services are primarily provided through tickets, written communication, email notifications, the customer cabinet where available, and remote access tools such as AnyDesk when necessary.

Unless expressly agreed otherwise, metricfixer does not provide phone calls, Zoom meetings, video meetings, or voice consultations. Support language is English.

metricfixer is not a hosting provider, advertising platform, payment processor, legal advisor, tax advisor, accounting advisor, financial advisor, or official representative of Google, Meta, TikTok, LinkedIn, Microsoft, Amazon, Stripe, Shopify, WordPress, WooCommerce, or any other third-party platform.

3. Free Initial Diagnostic Review

metricfixer may provide a free initial diagnostic review for the limited purpose of understanding the general nature of the issue and determining the estimated cost and scope of paid work.

The free initial diagnostic review is limited and does not include deep technical investigation, full account audit, implementation, debugging, configuration changes, code review, advertising account analysis, or detailed written reporting unless we expressly agree otherwise.

Before paid work begins, metricfixer will normally indicate the cost of each work stage or agreed task. However, additional costs may arise if a problem is discovered during work and could not reasonably have been identified during the initial review.

4. Quotes, Estimates, Rates, and Minimum Charge

All paid work is subject to a quote, estimate, hourly rate, fixed price, subscription price, or other pricing arrangement communicated to the Customer.

Unless otherwise agreed in writing:

  • the minimum charge for a ticket is one hour;
  • complex development, engineering, architecture, and custom implementation work is billed at USD 90 per hour;
  • marketing, advertising, optimization, and other non-engineering services are billed at USD 70 per hour;
  • priority handling requested by the Customer during periods of high workload may be billed at 1.75 times the applicable hourly rate;
  • priority handling for valid warranty cases is provided without additional priority surcharge.

A quote or estimate is not a guarantee that no additional work will be required. Tracking, analytics, advertising, ecommerce, CRM, server-side routing, consent, and attribution systems often depend on multiple third-party platforms, historical configuration, access rights, data quality, browser behavior, consent settings, and undocumented changes.

If additional work is required, metricfixer may request approval for an additional stage, additional payment, or additional time before continuing.

5. Payment

Paid work may begin only after payment, written approval, or another payment arrangement accepted by metricfixer.

Payments may be processed through Stripe or other payment providers. Where Stripe-hosted checkout is used, payment information is processed by Stripe under Stripe’s own terms and policies. metricfixer does not store full payment card numbers.

Payment of a quoted amount means that you approve the relevant stage, scope, or service item described in the ticket, payment request, invoice, or related communication.

If new issues, additional requests, or expanded scope arise, metricfixer may issue an additional payment request.

Unless otherwise stated, all prices are in United States dollars and do not include taxes, duties, bank charges, currency conversion fees, or payment-provider fees that may apply to the Customer.

6. Ticket Creation and Communication

A Customer may create a ticket through the website, through a customer cabinet where available, or through supported email workflows.

When creating a ticket, you may be asked to provide information such as your name, company name, email address, website URL, description of the issue, screenshots, files, logs, diagnostic exports, access details, and other information necessary to understand or perform the requested work.

All messages, files, access details submitted through the ticket form, email replies, staff replies, internal processing records, and related metadata may be stored as part of the service history.

You agree that email is not an absolutely secure channel. You should not send passwords, secrets, API keys, private keys, full payment card data, highly sensitive personal data, or regulated data by ordinary email. Where access details are required, they must be provided through the designated ticket form or other method indicated by metricfixer.

metricfixer may send service notifications, ticket updates, payment requests, access instructions, and other operational communications to the email address provided by you.

7. Customer Responsibilities

You are responsible for:

  • ensuring that you have the legal right to submit tickets, provide access, upload files, and request work on the relevant website, account, platform, property, advertising account, analytics property, CRM, server, ecommerce system, or other system;
  • providing accurate, complete, and timely information;
  • ensuring that any personal data, logs, screenshots, exports, or files provided to metricfixer may lawfully be shared with us;
  • ensuring that your own website, apps, tracking, cookies, consent banners, privacy notices, and advertising activities comply with applicable laws and platform policies;
  • maintaining backups of your websites, containers, code, configurations, platforms, tags, consent settings, advertising configurations, and other systems before changes are made;
  • reviewing work results, recommendations, and changes;
  • revoking temporary access after work is completed, where applicable;
  • paying approved charges.

You must not submit unnecessary personal data, sensitive personal data, children’s data, health data, government identification data, full payment card data, private keys, API secrets, or passwords unless expressly required for the specific task and expressly accepted by metricfixer.

You acknowledge that tracking, analytics, advertising, and ecommerce systems are complex and may be affected by browser restrictions, consent choices, cookie limitations, ad blockers, platform policies, attribution windows, modeled conversions, timezone differences, refunds, duplicates, API limits, sampling, and third-party outages.

8. Access to Customer Systems

To perform the Services, metricfixer may request access to systems such as:

  • Google Analytics;
  • Google Tag Manager;
  • server-side Google Tag Manager;
  • Google Ads;
  • Google Merchant Center;
  • Meta Business Manager;
  • Meta Events Manager;
  • TikTok Ads;
  • LinkedIn Ads;
  • Microsoft Ads;
  • Amazon Attribution;
  • CRM systems;
  • call tracking systems;
  • email tracking systems;
  • ecommerce platforms;
  • CMS platforms;
  • hosting panels;
  • DNS settings;
  • server environments;
  • website code repositories;
  • consent management platforms;
  • AnyDesk or similar remote access tools.

You should provide limited, temporary, role-based access whenever possible. You should not provide root, owner, administrator, billing, or full-access credentials unless they are strictly necessary for the agreed task.

If you provide access credentials, tokens, invites, files, or configuration exports, you represent that you have the right to do so and that such access does not violate any contract, law, platform rule, employment obligation, or third-party right.

metricfixer may refuse to work if necessary access is not provided, if the access method is unsafe, if the requested access appears unauthorized, or if the requested work creates legal, security, operational, or platform-policy risk.

9. Backups, Change Risk, and Customer Approval

Before requesting or approving changes, you are responsible for ensuring that appropriate backups exist.

This may include backups of:

  • website files;
  • databases;
  • GTM containers;
  • server-side GTM containers;
  • GA4 configurations;
  • advertising account settings;
  • ecommerce tracking settings;
  • CRM integrations;
  • consent settings;
  • tags, triggers, variables, templates, scripts, snippets, and server configuration files.

metricfixer may help create exports or backups where agreed, but unless expressly included in the scope, metricfixer does not guarantee that a full backup exists or that third-party systems can be restored to a previous state.

You acknowledge that changes to tags, analytics settings, consent configuration, server-side routing, ecommerce tracking, conversion APIs, pixels, advertising integrations, website code, or platform settings may temporarily affect reported conversions, revenue tracking, attribution, advertising optimization, remarketing audiences, campaign performance, analytics reports, ecommerce reports, consent behavior, page performance, and third-party platform diagnostics.

metricfixer will use reasonable professional care, but you remain responsible for business decisions based on analytics and advertising data.

10. Scope of Work

The scope of work is determined by the specific ticket, quote, payment request, written message, or other communication accepted by metricfixer.

A scope may include one or more stages. A stage may be completed even if further improvements, additional fixes, new problems, or broader optimization opportunities are identified.

metricfixer may request additional information, access, files, screenshots, exports, or approvals from you before continuing.

metricfixer may refuse, suspend, or stop work if:

  • the request is outside our competence;
  • the request appears unlawful, unsafe, deceptive, abusive, or unethical;
  • the request may violate third-party platform policies;
  • you do not provide necessary access or information;
  • you request work involving prohibited or restricted goods or services;
  • the task requires actions that we consider inappropriate;
  • continuing the work may create unacceptable legal, security, technical, or reputational risk.

metricfixer may refuse to perform any unlawful or suspicious action without explaining the reason in detail.

11. Services We Do Not Provide

metricfixer does not provide and may refuse requests related to:

  • removing bans or blocks from advertising accounts;
  • removing bans or blocks from Google Merchant Center accounts;
  • circumventing advertising platform restrictions;
  • advertising management for goods or services restricted by advertising systems;
  • fraudulent tracking;
  • bypassing consent requirements;
  • illegal tracking;
  • phishing;
  • spyware;
  • malware;
  • unauthorized scraping;
  • unauthorized access;
  • deception of users, platforms, or regulators;
  • concealment of prohibited business activity;
  • violation of Google, Meta, TikTok, LinkedIn, Microsoft, Amazon, Stripe, or other third-party platform policies;
  • any action that metricfixer considers unlawful, unsafe, misleading, abusive, or outside acceptable professional standards.

metricfixer may decline such work at its sole discretion.

12. Response Time and Availability

metricfixer aims to provide an initial response to a new ticket within 12 hours, including weekends.

This is an initial response target, not a guarantee of completion, resolution, implementation, or availability of a specialist within that time.

Response times may vary depending on workload, complexity, third-party platform availability, access delays, payment status, urgency, and the completeness of information provided by the Customer.

Priority requests may be available during periods of high workload and may be billed at 1.75 times the applicable hourly rate. Priority handling for valid warranty cases is provided without an additional priority surcharge.

13. Remote Access and AnyDesk

metricfixer may use AnyDesk or similar remote access tools when necessary.

Remote access is used only when the task cannot reasonably be completed through written instructions, account invitations, exports, screenshots, or limited role-based access.

You are responsible for supervising remote access sessions where appropriate and ensuring that confidential, personal, or irrelevant information is not exposed unnecessarily.

metricfixer may refuse remote access if the session appears insecure, unauthorized, recorded without consent, or unrelated to the agreed work.

14. Deliverables

Depending on the agreed scope, deliverables may include:

  • ticket replies;
  • written recommendations;
  • diagnostic findings;
  • corrected configurations;
  • tracking setup;
  • GTM or sGTM container changes;
  • exported containers;
  • code snippets;
  • scripts;
  • screenshots;
  • checklists;
  • short reports;
  • implementation notes;
  • advertising audit comments;
  • optimization recommendations;
  • confirmation that a specific agreed result has been implemented.

Unless expressly agreed, metricfixer does not provide long-form reports, legal opinions, tax opinions, accounting opinions, advertising guarantees, video reports, calls, or training sessions.

15. Completion and Acceptance

A service stage is considered completed when the previously agreed result has been implemented, delivered, or made available to the Customer.

Completion may be confirmed by:

  • a written message in the ticket;
  • delivery of a recommendation, configuration, file, snippet, report, or other agreed result;
  • implementation of the agreed setting or fix;
  • confirmation that the issue has been diagnosed;
  • confirmation that the agreed stage cannot proceed without further Customer action;
  • Customer approval or lack of objection within a reasonable time.

If the Customer does not respond for 5 business days, the ticket may be suspended.

Reactivation of a suspended ticket may be subject to a USD 35 reactivation fee. Reactivation does not guarantee that the same specialist, same timeline, or same pricing will remain available.

16. Warranty for Corrected Errors

metricfixer provides a limited warranty for correction of errors in completed work for up to one year after completion, provided that:

  • the error relates directly to the work performed by metricfixer;
  • the relevant systems, accounts, containers, tags, code, website, plugins, server settings, APIs, consent settings, advertising settings, or platform configurations have not been changed by the Customer or any third party after completion;
  • the issue was not caused by third-party platform changes, API changes, policy changes, outages, browser behavior, consent behavior, ad blockers, hosting changes, CMS updates, plugin updates, theme updates, server changes, data source changes, or other circumstances outside metricfixer’s control;
  • the Customer provides necessary access and information for verification;
  • the Customer reports the issue in writing.

Warranty handling for valid cases is prioritized without additional priority surcharge.

This warranty does not cover new work, new requirements, optimization requests, platform migrations, redesigned websites, changed business logic, changed consent flows, changed data layers, changed advertising strategy, changes made by third parties, or issues caused by third-party platforms.

17. No Guaranteed Business Outcome

metricfixer provides technical, diagnostic, implementation, optimization, and consulting services using reasonable professional effort.

We do not guarantee:

  • increased sales;
  • increased revenue;
  • improved ROAS;
  • improved CPA;
  • improved conversion rate;
  • approval of advertising accounts;
  • recovery of blocked accounts;
  • recovery of lost data;
  • exact match between GA4, Google Ads, Meta Ads, CRM, ecommerce platforms, call tracking, email tracking, and other systems;
  • uninterrupted tracking;
  • permanent attribution accuracy;
  • absence of modeled or estimated conversions;
  • continued operation of third-party APIs;
  • continued compatibility with third-party platforms;
  • acceptance of any configuration by Google, Meta, TikTok, LinkedIn, Microsoft, Amazon, Stripe, or other third-party platforms.

Differences between analytics, advertising, CRM, ecommerce, payment, and reporting systems may be normal and may result from attribution windows, consent status, cookie restrictions, ad blockers, timezone differences, refunds, cancellations, duplicate orders, cross-device behavior, modeled conversions, API delays, sampling, browser restrictions, or platform-specific rules.

18. Third-Party Platforms

The Services may involve third-party platforms, including but not limited to Google, Meta, TikTok, LinkedIn, Microsoft, Amazon, Stripe, Shopify, WooCommerce, WordPress, CRM providers, call tracking providers, email tracking providers, hosting providers, DNS providers, consent management platforms, analytics tools, advertising platforms, and reporting tools.

metricfixer does not control third-party platforms and is not responsible for:

  • outages;
  • API limitations;
  • account bans;
  • policy changes;
  • data processing delays;
  • attribution changes;
  • interface changes;
  • undocumented behavior;
  • platform errors;
  • approval or rejection of ads, products, feeds, events, conversions, accounts, or integrations;
  • loss of access;
  • changes in pricing;
  • termination of third-party services;
  • security incidents affecting third-party platforms.

Your use of third-party platforms is governed by their own terms, policies, data processing terms, and privacy notices.

19. Advertising and Restricted Products

metricfixer may provide advertising strategy, audit, optimization, or management services for Google Ads, Meta Ads, TikTok Ads, Microsoft Ads, LinkedIn Ads, and related systems.

However, metricfixer may refuse advertising-related work involving goods, services, industries, or content restricted or prohibited by advertising systems, payment providers, applicable law, or metricfixer’s internal risk assessment.

metricfixer does not guarantee that advertisements, products, landing pages, Merchant Center feeds, events, pixels, conversion APIs, or accounts will be approved by any advertising platform.

20. Customer Data, Privacy, and Data Processing

The Customer is responsible for ensuring that any personal data, customer data, user data, employee data, logs, screenshots, exports, CRM records, ecommerce records, or analytics data submitted to metricfixer is lawfully provided.

If you submit personal data belonging to third parties, you represent that you have a valid legal basis to do so and that you have provided all required notices and obtained all required consents where applicable.

Where metricfixer processes personal data on behalf of a business Customer, the Data Processing Addendum may apply.

You must not submit sensitive personal data, children’s data, health data, government identification data, full payment card data, passwords, private keys, API secrets, or other high-risk data unless expressly required and expressly accepted by metricfixer for a specific task.

metricfixer may store ticket history, snippets, configurations, exports, screenshots, diagnostic information, correspondence, and related materials after ticket completion for service history, warranty, security, quality, legal, operational, and business purposes.

21. Confidentiality

metricfixer will use reasonable measures to protect confidential information submitted by the Customer.

Confidential information may include non-public business information, account configurations, analytics settings, advertising data, screenshots, code snippets, exports, technical documentation, and access-related information.

metricfixer may disclose information where necessary to:

  • provide the Services;
  • use hosting, email, payment, storage, security, or support providers;
  • involve authorized employees, contractors, or specialists;
  • comply with legal obligations;
  • protect rights, safety, security, and integrity;
  • prevent abuse, fraud, or unlawful activity;
  • process payments, refunds, disputes, or chargebacks.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

22. Intellectual Property

The Customer retains ownership of its pre-existing materials, including its website, data, accounts, brand materials, business information, and original content.

metricfixer retains ownership of its pre-existing knowledge, know-how, methods, templates, checklists, generic snippets, diagnostic approaches, internal tools, workflows, documentation, and reusable technical solutions.

Upon full payment for the relevant work, metricfixer grants the Customer a non-exclusive, non-transferable, worldwide license to use deliverables created specifically for the Customer for the Customer’s internal business purposes.

Unless expressly agreed otherwise, metricfixer may reuse general know-how, generic snippets, non-confidential methods, templates, patterns, and experience gained during the provision of Services, provided that such reuse does not disclose the Customer’s confidential information or personal data.

metricfixer may retain copies of snippets, configurations, exports, implementation notes, and diagnostic materials for warranty, service continuity, internal knowledge, security, and legal purposes.

23. Suspension and Termination

metricfixer may suspend or terminate work, tickets, access, or services if:

  • the Customer fails to pay;
  • the Customer does not respond for 5 business days;
  • the Customer refuses to provide necessary access or information;
  • the request appears unlawful, unsafe, unethical, abusive, or outside scope;
  • the Customer violates these Terms;
  • the Customer submits prohibited data or materials;
  • the Customer misuses the Services;
  • continued work creates unacceptable legal, security, financial, operational, or reputational risk.

Suspension or termination does not waive amounts already due.

24. Refunds

Refunds, if any, are handled according to the agreed payment terms, payment request, invoice, or applicable Payment and Refund Policy.

Unless expressly agreed otherwise, payments for completed work, diagnostic work, implemented work, consumed time, subscription management, or delivered stages are non-refundable.

If work cannot continue due to lack of access, lack of Customer response, third-party platform restrictions, Customer-side issues, or circumstances outside metricfixer’s control, metricfixer may charge for time already spent.

25. Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

metricfixer disclaims all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, business performance, advertising performance, data accuracy, or compatibility with third-party platforms.

No advice or information provided by metricfixer creates any warranty unless expressly stated in these Terms or in a separate written agreement signed by Marketlab.

26. Limitation of Liability

To the maximum extent permitted by law, metricfixer and Marketlab Analytics LLC will not be liable for:

  • lost profits;
  • lost revenue;
  • lost sales;
  • lost conversions;
  • lost advertising spend;
  • loss of data;
  • loss of goodwill;
  • business interruption;
  • reputational harm;
  • indirect damages;
  • incidental damages;
  • consequential damages;
  • special damages;
  • punitive damages;
  • third-party platform decisions;
  • advertising account bans;
  • Merchant Center suspensions;
  • payment-provider decisions;
  • API failures;
  • outages;
  • delays;
  • data discrepancies between platforms.

Unless a different limit is expressly agreed in writing, metricfixer’s total liability for any claim related to a specific paid service is limited to the amount paid by the Customer for that specific service or stage giving rise to the claim.

If the claim relates to a subscription service, metricfixer’s total liability is limited to the amount paid by the Customer for that subscription during the one month preceding the event giving rise to the claim, unless a different limit is required by applicable law.

These limitations apply regardless of the legal theory, including contract, tort, negligence, strict liability, statutory liability, or otherwise.

Some jurisdictions do not allow certain limitations of liability. In such cases, liability will be limited to the maximum extent permitted by law.

27. Indemnification

You agree to indemnify, defend, and hold harmless Marketlab Analytics LLC, metricfixer, its owners, officers, employees, contractors, agents, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses arising from or related to:

  • your violation of these Terms;
  • your unlawful use of the Services;
  • your submission of data, files, credentials, or materials without proper authority;
  • your violation of third-party rights;
  • your violation of advertising platform policies;
  • your violation of privacy, data protection, cookie, consent, ecommerce, advertising, consumer protection, or other laws;
  • your instructions to metricfixer;
  • your products, services, websites, campaigns, accounts, data, or business practices.

28. Force Majeure

metricfixer will not be liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to:

  • internet outages;
  • hosting outages;
  • third-party platform outages;
  • API failures;
  • payment-provider outages;
  • email delivery failures;
  • cyberattacks;
  • denial-of-service attacks;
  • labor disputes;
  • natural disasters;
  • war;
  • terrorism;
  • governmental actions;
  • regulatory changes;
  • power failures;
  • failure of third-party services;
  • changes or restrictions imposed by Google, Meta, TikTok, LinkedIn, Microsoft, Amazon, Stripe, or other platforms.

29. Changes to These Terms

metricfixer may update these Terms from time to time.

The updated version will be posted on metricfixer.com with a new “Last Updated” date. Unless otherwise stated, updated Terms apply from the date they are posted.

For ongoing paid work, material changes will not retroactively reduce the specific agreed scope of a paid stage already accepted by metricfixer, unless required by law or agreed with the Customer.

Continued use of the Services after updated Terms are posted means that you accept the updated Terms.

30. Governing Law

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-law rules.

31. Dispute Resolution and Venue

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any ticket, payment, deliverable, or communication with metricfixer will be resolved exclusively in the state or federal courts located in Delaware, United States of America, unless applicable mandatory law requires otherwise.

You consent to the personal jurisdiction and venue of such courts.

Nothing in these Terms prevents metricfixer from seeking injunctive or equitable relief in any jurisdiction where necessary to protect its rights, confidential information, intellectual property, systems, security, or operations.

32. Consumer Rights

If you are a consumer in a jurisdiction where mandatory consumer protection laws apply, nothing in these Terms is intended to limit rights that cannot lawfully be waived.

If any provision of these Terms is found unenforceable against a consumer, the remaining provisions will continue to apply to the maximum extent permitted by law.

33. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

34. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Marketlab.

Marketlab may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or transfer of the metricfixer business, provided that such assignment does not materially reduce Customer rights under these Terms.

35. Entire Agreement

These Terms, together with any applicable Privacy Policy, Data Processing Addendum, Payment and Refund Policy, ticket-specific scope, quote, invoice, payment request, or written agreement accepted by metricfixer, constitute the entire agreement between you and Marketlab regarding the Services.

They replace any prior or contemporaneous discussions, messages, proposals, drafts, or understandings regarding the same subject matter, except where a separate signed agreement expressly states otherwise.

37. Public Offer Acceptance Statement

By submitting a ticket, requesting work, approving a quote, making payment, providing access to your systems, continuing communication regarding a service request, or using any deliverable provided by metricfixer, you confirm that you have read, understood, and accepted these Terms of Service / Public Offer Agreement.
